End User Licence Agreement
Evaluation use · version 2026-09-22 · effective September 22, 2026 · operator: VizVantage LLC
This agreement is in effect as of September 22, 2026 and applies to your use of VizVantage. If we amend it, the version above changes and we ask you to accept the new version before continuing. Nothing here states or implies that Intuit has reviewed, approved or endorsed VizVantage.
1. Who this agreement is between
This agreement is between VizVantage LLC (“we”, “us”) and the business that has been invited to evaluate VizVantage, together with the individual people that business authorises to sign in (“you”). By signing in and accepting these terms, you confirm you are authorised to accept them on behalf of that business.
2. Licence we grant you
We grant your business a limited, non-exclusive, non-transferable, revocable licence to use VizVantage for your own internal business purposes during the evaluation. You may not resell it, sublicense it, make it available to people outside your business, copy or reverse engineer it, remove notices, use it to build a competing product, or use it in ways that damage or interfere with the service or other users.
3. Your business data stays yours
You own your business data, including everything you enter and everything imported from your accounting or other business systems. You grant us only the permission needed to process that data to operate, support, secure and improve the service for you, as described in the Privacy Notice. You are responsible for having the right to provide the data you connect or enter.
4. Your responsibilities
You agree to use VizVantage lawfully, to keep your sign-in credentials confidential, to allow access only to people your business authorises, and to tell us promptly at josh@bradleysecurity.com if you believe an account has been misused. You remain responsible for activity carried out under your accounts.
5. QuickBooks Online integration only reads
If you connect QuickBooks Online, VizVantage requests Intuit's accounting permission. That permission, as Intuit defines it, technically also allows writing to your books; this software only issues read requests. It reads records and reports to build your financial model. It does not create, change or delete anything in your books, does not move money, does not make payments, and does not file anything on your behalf. You may disconnect at any time, which clears the stored tokens and attempts to revoke the authorisation at Intuit; you can also remove the app's access from your Intuit account. Your use of QuickBooks Online remains governed by your own agreement with Intuit.
6. No professional advice, and the limits of the output
VizVantage is a calculation and organisation tool. It does not provide accounting, tax, legal, audit or investment advice, and it is not a substitute for your accountant, tax advisor or attorney. You are responsible for your own business decisions and for your tax and regulatory filings.
Results depend on the completeness and accuracy of what is connected and entered. Imports can be partial, records can be misclassified, reconciliation between your books and the model may not balance, and any assisted interpretation of your written explanations can be incorrect or incomplete. VizVantage is designed to withhold a figure and say the evidence is insufficient rather than present a confident number, and to take any amount in a proposal from the digits you wrote rather than inventing one. Those are design safeguards, not warranties: they can fail, they do not detect every wrong input or misclassification, and they are not a substitute for your own review. You must review every figure, and the assumptions shown beside it, before relying on it or acting on it.
7. Evaluation, fees and future pricing
This is an evaluation. No fees are currently charged for it. Any future paid use would be governed by a separate written agreement; nothing here commits either of us to future pricing or to continued availability.
8. Availability, changes, suspension and termination
The service may be unavailable, may change, and may be suspended or discontinued. We may suspend or terminate access where use is unlawful, harmful, or in breach of this agreement, and otherwise we will give reasonable notice before ending your evaluation access. You may stop using the service and ask us to close your access at any time. On termination the licence ends; data handling follows the Privacy Notice.
9. Feedback
If you send us feedback or suggestions, we may use them to improve the product without obligation to you. Feedback should not include confidential information you do not want us to use in that way.
10. Disclaimer of warranties
To the fullest extent permitted by law, VizVantage is provided “as is” and “as available”, without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not warrant that results will be error-free, complete, or suitable for any particular decision.
11. Limitation of liability
To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost revenue, lost data or business interruption. Our total aggregate liability arising out of or relating to this agreement is limited to the greater of the fees you paid us for the service in the twelve months before the claim, or one hundred United States dollars ($100.00).
These limits do not apply to fraud, willful misconduct, or any liability or right that cannot be excluded or limited under applicable law.
12. Governing law and courts
This agreement is governed by the laws of the State of Minnesota, United States, without regard to its conflict-of-laws rules. Disputes will be brought before the courts of competent jurisdiction located in Minnesota, and both parties consent to that jurisdiction and venue. There is no arbitration requirement and no class-action waiver in this agreement.
13. Entire agreement and changes to these terms
This document, together with the Privacy Notice, is the entire agreement about the evaluation and replaces earlier discussions on the same subject. If we change these terms, we will present the new version for acceptance before continued use of the private workspace. If any provision is unenforceable, the rest remains in effect.
